Thank you for your interest in BizBoon services and products! The User Agreement legally bounds you as a user (“Member”) to the terms that governs the access and use of all BizBoon services and products including, but not limited to, any content, information, texts, graphics, website, widgets, emails, messages, notifications, photos, or other content shared, distributed, downloaded or upload. By creating an account, accessing or using BizBoon services or products you have agreed to the terms outlined in this User Agreement. The mission of BizBoon is to connect businesses with one another. This we expect to make our members more productive and avoid any pitfalls that they may encounter in their host country’s economy. To achieve our mission, we make services available through our website.

I. Rights and Responsibilities

To use BizBoon services and products you must comply with law, regulations and BizBoon policies including but not limited to Privacy Policy, User Agreement, Copyright Policies, Cookie Policy.

Members Rights - If you agree and comply with all of the terms and obligations outlined in this User Agreement and other policies including, but not limited to, Privacy, Copyright, Cookie, BizBoon grants you a non-assignable, non-sublicenseable, limited, non-exclusive, revocable license and right to use BizBoon services, view information through a BizBoon website, BizBoon applications or mobile device. However, please note that this license and right does not grant use of BizBoon services, website, applications or otherwise through crawling, scaping, spidering or other software or technology that allows you to access information or data without express written permission from BizBoon. You also acknowledge and agree that any use of BizBoon that violates or is not in compliance with this User Agreement is contrary to the intent and purpose of BizBoon. Any use including commercial of BizBoon data, information, documents or otherwise requires express written consent from approval BizBoon representative. Additionally, you knowledge that BizBoon has full and unlimited ownership, interest, and reserves the rights not expressly grant in this agreement, to all intellectual property rights, copyrights, titles, duplication, replication of BizBoon website, pages, applications, softwares or otherwise.

Access to Services and Products - In order to be eligible to use BizBoon services and products you must meet the following criteria: you are at least 18 years of age or older; you are not in competition with BizBoon; you are using real company name, description and contact information; you have the authority and power to access and use BizBoon services and products; you one account at the time; you are providing all required technical and non-technical equipment, tools and materials to be able to access and use the services; you are not bind from using the services; you are not violating any third party rights and obligations including but not limited to privacy, confidentiality, copyright, intellectual propriety or otherwise.

Content submissions - The information (“contents”) you post, display, transmit publicly or privately through BizBoon services or products belongs to you and we do not take responsibility for any of these contents. BizBoon does not control, maintain or monitor the content displayed, posted or transmitted through the services. Reliance, use or obtaining of any content posted, displayed, submitted or transmitted through the services or products is at your own risk . By submitting content to BizBoon you are warranting and representing that the information is accurate, not violating third party or contractual agreements or rights. It is your responsibility to keep your BizBoon profile and account up to date. Please note that we do not guarantee accuracy, completeness, authenticity, reliability or truthfulness of any information, content, communication or messages submitted, posted, displayed or transmitted through the services or products. Under no circumstances BizBoon will be held responsible or reliable for content, information, messages or communications that you may be deceiving, mislabelled, misleading, or otherwise, at times you may not agree, find harmful, offensive, inappropriate or inaccurate. , Under no circumstances we are reliable or responsible for exposure, damage, loss of any kind caused or resulted from the use of the information, communication, content, message or otherwise through BizBoon services or transmitted elsewhere.

By displaying, posting, transmitting content via services you grant exclusive, international, irrevocable, perpetual, unlimited, assignable, sublicenseable, fully paid and royalty-free right to us to use, copy, modify, display, improve, distribute, transmit, publish, remove, retain, add, process, analyze, adapt commercialize, in any way now known or in the future discovered, any information you provide, directly or indirectly to BizBoon, including, but not limited to, any user generated content, ideas, concepts, models, techniques and/or data to the services, you submit to BizBoon, without any further consent, notice and/or compensation to you or to any third parties.

Membership - To keep your account secure you must: not share your password with anyone; do not transfer, charge, trade or sell your account to others; do not allow access or use of your account by others; do not use others account; keep your account, login and password secure and protected. Please note that by creating a user profile you are agreeing that the information you provide on your account becomes part of and owned by BizBoon, unless licensing was required before BizBoon account was created. In the event that you would like to close your account, please contact BizBoon customer service at customerservice@bizboon.com.

Indemnify BizBoon - You agree that by registering or using BizBoon you indemnify us and hold us harmless for all damages, losses and costs (including, but not limited to, reasonable attorneys’ fees and costs) related to all third party investigations, charges, and claims, caused by (1) your failure to comply with this Agreement, including, without limitation, your submission of content that violates third party rights or applicable laws, (2) any content you submit to BizBoon Services, (3) any activity in which you engage on or through BizBoon, and (4) you will compensate BizBoon for any damages and losses that you cause.

Notices & Service Messages - BizBoon will communicate any service changes including user agreement modifications by (1) placing message banners on its website, or (2) email you notification using the primary email address associated with your account, or (3) postal services, other email addresses, mobile devices, messaging, telephone. Please take note that it is your responsibility to keep your account up to date including, but not limited to, your contact information, first and last name, email addresses, mobile number and other critical information; under no circumstances BizBoon shall be held liability for failure to keep your contact information current.

BizBoon Plugins & Applications - From time to time BizBoon may provide services through its applications through third-party websites over the web. Applications may be for mobile devices including, iPhone, Blackberry, Android and others in the future, Third-party websites that have embedded or deployed BizBoon applications or plugins may collect data including, but not limited to, your geographic location, websites you visited, internet provider, mobile carrier maybe transmitted to us. By downloading, importing or exporting your data with your smart phone or other mobile devices you agree that you have the authority to transmit, transfer or share data. It is your responsibility to ensure that your account is up to date when there is a change to your mobile carrier or service provider including, but not limited to, changing your mobile number, email address and critical information on BizBoon site to prevent sharing of any information to the old number or mobile carrier or service provider. Failure to do so is your responsibility. It is also your responsibility to check with your new service provider or mobile carrier to ensure BizBoon services are available through the new service provider or mobile carrier and they confirm to BizBoon Licensing and User Agreement terms.

Member Acts Not in Compliance with User Agreement - If at any time you are required or mandated by law to act contrary to this agreement or any other policies including Privacy, Copyright, or Cookie policies you will notify us 60 days before acting so that we can assess whether to permit such action or provide alternative course of action or solutions. You understand that the decision, if any, is solely made by BizBoon, and that under no circumstances BizBoon is obligated to do so.

Member to Member Content Sharing - Ongoing basis BizBoon will provide plateforms for members to create company, association or group pages, create list of favourite contacts or connections. In such platforms you may post your comments, perceptions, messages, or other information including, but not limited, webpage links, articles, news, comments, product or business endorsements, illustrations or concepts that may be viewed, used, transferred, copied or posted on websites by others outside of BizBoon. Sharing of ideas, concepts, method or other related contents is at your discretion; under no circumstances BizBoon is held liability for use, misuse, copied, misappropriation, misinterpretation or misunderstanding of any content posted on BizBoon, It is at BizBoon sole discrention to remove, edit, change, modify, delete or other actions if we find that the content is in violation of BizBoon’s User Agreement, Privacy, Copyright or other’s intellectual property rights.

Privacy Policy - BizBoon Privacy Policy is incorporated in the User Agreement, we mention it in this agreement as a reference. Before you start using BizBoon site and services, please carefully read the Privacy Policy to ensure that you understand and compile all the terms outline that policy. You acknowledge and agree that any personal or organization information and content that you submit to BizBoon, groups, contacts or connections (1) may reveal to others your identity including, but not limited to, company name and description, your sexual orientation, gender, ethnicity, nationality and/or other content, (2) is voluntary on your part, and (3) BizBoon can access, process, and/or use part or all of the information accordance to the Privacy Policy.

Survey, Polls, Suggestions or Feedback to BizBoon - Your feedback, contributions, suggestions, proposals or otherwise through any polls, surveys, feedback forms you are agreeing that (1) any contribution that you offer is not in violation of any intellectual property rights or confidentiality, (2) BizBoon may already have a similar contribution under away, (3) BizBoon has the right and is entitled to use, disclose or not disclose any or all contributions, and under no circumstances BizBoon is under any obligation to provide you pay, reimbursement or compensation, (4) BizBoon is not under any implied or expressed obligation of confidentiality with respect to your suggestions, contributions, feedback, ideas or otherwise.

Trade Controls - The use of BizBoon applications, services, softwares, apps, otherwise may be subject to export and re-export regulations and control laws such as the Canadian Export and Import Permits Act enforced by the Foreign Affairs, Trade and Development Canada . Under these control laws you agree that without the approval of appropriate authority and/or governmental entities you will not directly or indirectly transfer, divert, export, sell, transfer or otherwise, you are not prohibited from receiving Canadian origin products, including services or software.

Payment to BizBoon - If you purchase any services that we offer for a fee, either on a one-time or subscription basis, you agree to BizBoon: (1) storing your payment information(2) to pay the applicable fees for the Services (including, without limitation, periodic fees for accounts) as they become due plus all related taxes, and to reimburse us for all interest fees and collection costs for all overdue amounts and charges; (3) Failure to pay may result in the termination of your subscription; and (4)your transaction with us may be subject to differences in fees, prices or exchange fees. Please note that it is your responsibility and obligation to pay your fees and charges for the services (including subscriptions) and products you purchase from BizBoon. BizBoon does not support all currencies, methods of payment or locations for Any applicable taxes will be applied according to the billing information you provide us at the time of purchasing the services or products. We do not provide refunds. Invoices can be requested by contacting BizBoon Customer Service at customerservice@bizboon.com.

II. BizBoon’s Rights & Obligations

Availability of BizBoon Services - In our sole discretion BizBoon continue to provide services and improve, enhance or update its services. Additionally, BizBoon has the full right, at its sole discretion, to partially or entirely replace, modify, change refuse access, discontinue, suspend services and prices. All changes is effective upon a notice posted on BizBoon site or directly communicated to you. BizBoon is no obligation to maintain, monitor, store or provide you any of the content either you or other members post when using the services. Please note that you agree and understand that BizBoon has the right to remove, delete, discard or withhold any content in your BizBoon account that we find violates or does not compile with this User Agreement. Thus, we provide you access to BizBoon website as it exists and we have no other obligations, except as expressly stated in the User Agreement .

Third Party Application Platform & Websites - You may give permission to Third Party to use the information you provide them, It is your responsibility to review, evaluate and consent to third-party User Agreement, Privacy Policy, application term. Your use of Third Party site, services or Application Platform is “as is” without any warranty, relationship or application to BizBoon User Agreement, Privacy Policy or otherwise. As a result, you understand and agree that it is your responsibility to evaluate Third Party Application Platform, website or services before using or sharing any information with them . By using Third Party Platform or site to authenticate with your BizBoon account, that Third Party site can access and use your BizBoon account information. BizBoon does not promote, audit, monitor, advertise any application platforms, products, services or other materials from Third-Party unless there is an explicit and approved ,by BizBoon Managing Director and appropriate Third-Party representative, agreement between BizBoon and Third Party.

Sharing & Disclosure of Member Information - By registering, using, and accessing BizBoon, you acknowledge, agree, understand and consent that, in accordance to Privacy Policy, BizBoon may view, access, use, disclose, preserve or share your account information if in good faith or ordered by law to do so in order to: reinforce this User Agreement; follow legal order, compulsory order or process such as, but not limited to court order, criminal subpoenas, (3) address member inquires; protect the safety, rights or property of BizBoon, BizBoon personnel, public, or Members; address third-party, whether a member or non-member, claims regarding rights violation.

Contacts, Interactions & Connections Among Members - In the event of dispute between you and other members, BizBoon has the right, but no obligation to you or others, to limit, terminate, close, suspend, or strict your account and contacts with other members if BizBoon finds, in its own sole discretion, that doing so is required to enforce this User Agreement . You agree and consent that you are responsible for you interaction, connection or contacts with other members.

Intellectual Property Messages & Notices - BizBoon reserves the Intellectual Property rights in the services we provide. The services include, but not limited to intellectual property rights and copyright except the limited licence provided to you outline under “Member Rights” section. BizBoon trademarks, logos including BoonBox, service marks, graphics are registered trademarks or trademarks of BizBoon Inc. in Canada and/or other countries. There may be other registered trademarks that may belong to other entities, companies or members. Please note that you understand and agree that BizBoon User Agreement does not provide you licence or right to these registered trademarks, intellectual property rights or other copyright or logos including, but not limited to, graphics or designs.

Termination of User Account and Agreement - You can terminate this User Agreement at any time. Notify BizBoon of intention to terminate this User Agreement; your User Agreement terminate will take effect upon BizBoon processing your notice. Please note BizBoon can terminate your account and User Agreement at any time with or without notice and/or for any or no reason. The cancellation or termination of your account may include termination of your use, view, access or otherwise of BizBoon. In the case of doubt, only BizBoon or party that pays for the services can terminate your account and User Agreement. BizBoon also the right to terminate your account and User Agreement if we solely determine that you misused, violated intellectual propriety rights, acted contrary to the purpose and intent of BizBoon’s site, created false profile or accounts, misused the services, failed to comply with this User Agreement and any other policies. The termination of your account and agreement is effective immediately.

Amendments, Changes, Modifications and Removal of Terms and Conditions - BizBoon has the rights to change, remove, modify or supplement the terms and conditions of this User Agreement and Privacy Policy. Please access and review the changes before continuing to use BizBoon site and services. If you do not agree with the changes discontinue your use of BizBoon account. The modifications are effective prospectively upon posting on BizBoon.com or notifying you otherwise.

III. Disclaimer Of Warranty And Limitation Of Liability

YOU ACKNOWLEDGE THAT YOU ARE USING THE SERVICE AT YOUR OWN RISK. THE SERVICE IS PROVIDED "AS IS", AND THE SERVICE PROVIDER, ITS AFFILIATES, AND ITS THIRD PARTY SERVICE PROVIDERS HEREBY EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF ACCURACY, RELIABILITY, TITLE, MERCHANTABILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER WARRANTY, CONDITION, GUARANTEE OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION CONTAINED THEREIN OR PROVIDED BY THE SERVICE. SERVICE PROVIDER, ITS AFFILIATES, AND ITS THIRD PARTY SERVICE PROVIDERS DO NOT REPRESENT OR WARRANT THAT ACCESS TO THE SERVICE WILL BE UNINTERRUPTED OR THAT THERE WILL BE NO FAILURES, ERRORS OR OMISSIONS OR LOSS OF TRANSMITTED INFORMATION, OR THAT NO VIRUSES WILL BE TRANSMITTED ON THE SERVICE. WITHOUT LIMITATION, SERVICE PROVIDER DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION INCLUDED IN ANY PROFILE CREATED THROUGH THE SERVICE. USERS ARE SOLELY RESPONSIBLE FOR ENSURING THE ACCURACY OF ALL INFORMATION INCLUDED IN SUCH PROFILES, AND SERVICE PROVIDER SHALL UNDERTAKE NO RESPONSIBILITY FOR DAMAGES CAUSED BY THE INCLUSION OF ERRONEOUS, INCOMPLETE, OR OUTDATED INFORMATION IN SUCH PROFILES. SERVICE PROVIDER, ITS AFFILIATES, AND ITS THIRD PARTY SERVICE PROVIDERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ALLEGEDLY SUSTAINED ARISING OUT OF THIS AGREEMENT, THE PROVIDING OF SERVICES HEREUNDER, THE SALE OR PURCHASE OF ANY GOODS OR MERCHANDISE, YOUR ACCESS TO OR INABILITY TO ACCESS THE SERVICE, INCLUDING FOR VIRUSES ALLEGED TO HAVE BEEN OBTAINED FROM THE SERVICE, YOUR USE OF OR RELIANCE ON THE SERVICE OR ANY OF THE MERCHANDISE, INFORMATION OR MATERIALS AVAILABLE ON THE SERVICE, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME COUNTRIES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM COUNTRY TO COUNTRY. YOU HEREBY AGREE TO RELEASE SERVICE PROVIDER, ITS AFFILIATES AND THIRD-PARTY SERVICE PROVIDERS, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THIS SITE. IF YOU ARE A UNITED STATES RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES, IN PART: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR". LIMITATION OF LIABILITY. SOME COUNTRIES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY IN CONTRACTS WITH CONSUMERS AND AS A RESULT THE CONTENTS OF THIS SECTION MAY NOT APPLY TO YOU. Neither BizBoon nor any of our subsidiaries, affiliated companies, suppliers, employees, or directors (“BizBoon Affiliates”) shall be cumulatively liable for (a) any damages in excess of five times the most recent monthly fee that you paid for a service, if any, or Canadian $100, whichever amount is greater, or (b) any special, incidental, indirect, punitive or consequential damages or loss of use, profit, revenue or data to you or any third person arising from your use of the Service.

IV. Dispute Resolution & Complaints

Legal Disputes - This Agreement or any claim, cause of action or dispute (“claim”) arising out of or related to this Agreement shall be governed by the laws of Canada regardless of your geographic location where you use or access BizBoon or country of origin, and notwithstanding of any conflicts of law principles and the United Nations Convention for the International Sale of Goods. You and BizBoon agree that all claims arising out of or related to this Agreement must be resolved exclusively by a province or federal court located in Ontario, Canada, except as otherwise agreed by the parties or as described in the Arbitration section. You and BizBoon agree to submit to the personal jurisdiction of the courts located within Ontario, Canada for the purpose of litigating all such claims. Notwithstanding the above, you agree that BizBoon shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

Arbitration - For any claim (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute in a cost effective manner through binding non-appearance-based arbitration. In the event a party elects arbitration, they shall initiate such arbitration through an established alternative dispute resolution (“ADR”) provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules (a) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; (b) any judgment on the award rendered by the arbitrator shall be final and may be entered in any court of competent jurisdiction; (c) the arbitration shall be conducted by phone, online and/or be solely based on written submissions, the specific manner shall be chosen by the party initiating the arbitration.

Complaints About Content Posted - This User Agreement requires that BizBoon members not to violate any intellectual property rights or any other third party rights by posting information that may rightly belong to others. BizBoon provides a platform for users to network, partner and make connections with other user. In the spirit of this purpose and intent, BizBoon recommends that users to respect copyright and intellectual property rights, post accurate and truthful information when the services. BizBoon has created a copyright policy to be followed.

V. General

General Conditions and Terms - By registering, clicking “Join Us”, or using BizBoon website including services, applications, or other date and information, you agree to enter into a legally binding agreement with BizBoon., 16025 Seventh Concession, King, Ontario L7B 0E1, CANADA if you reside in Canada based on the terms of this BizBoon User Agreement and BizBoon Privacy Policy, which is hereby incorporated by reference (collectively referred to as the “Agreement”) and become a BizBoon member (“Member”). Please note that by clicking on “Join Us” you agree and acknowledge (1) to all provisions, terms and conditions of this agreement, (2) to the electronic signature, and User Agreement and Privacy Policies are together referred to “Terms of Service”, and (3) if you are an individual who have created an account on behalf of an company, organization, entity or otherwise, you are bound by the terms of this agreement as an individual even if the company, organization, entity or otherwise have separate agreement with BizBoon. If you do not want to register an account and become a BizBoon Member, do not enter into this Agreement, do not click “Join Us” and do not access, view, download or otherwise use any BizBoon webpage, information or services.

Complete, Entire, and Exclusive Agreement - You understand and agree that this User Agreement constitutes (1) a complete, entire and exclusive agreement between you and BizBoon, (2) supersedes all past or prior oral or written agreements and understanding. Please note that you also agree and understanding that you may be subject to additional terms or conditions when you buy or use other services including third-party applications, softwares, products or services.

Severability - If any provision or terms of this Agreement is found by a court of competent jurisdiction or arbitrator to be unenforceable, illegal or void, , in order to effect the intention of the provision or terms, the unenforceable provision or term will be modified so as to render it effective and enforceable to the maximum extent possible; if a court of competent jurisdiction or arbitrator finds the modified provision or term illegal, void, unenforceable or invalid, the enforceability, validity and legality of the remaining provisions or terms of this Agreement will not be affected in any way.

User Agreement Language -The English language version of this User Agreement and other documentations including, but not limited to, Privacy Policy, Cookie Policy, and Copyright Policies, will govern your relationship with BizBoon. Translation of the English language version of this User Agreement and other documentations is provided for your convenience only.

No representations, consents, agreements or informal waivers - With the exception of a signed written approval from rightfully appointed representative, no waivers, consents, omissions, statements, representations or other acts by BizBoon Affiliates will be legally binding against BizBoon affiliates. In the event of breach or subsequent similar by you or others, BizBoon’s failure to act to a breach of this Agreement does not, under any circumstances, waivers our right to act.

No Injunctive Relief - In no event shall you seek or be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of the Service, exploitation of any advertising or other materials issued in connection therewith, or exploitation of the Services or any content or other material used or displayed through the Services or any content or other materials.

Substitution Assignment and Delegation - Please note any entity that own 50% or greater can enforce the terms and conditions of this Agreement against you. Under this User Agreement you consent, agree and understand that you are not permitted to transfer, assign or delegate the terms and conditions to anyone else; doing so will be legally unenforceable and ineffective. You also agree and understand that BizBoon, at its sole discretion, with, partial or without notice, can fully or partially delegate, substitute, assign or transfer rights and obligations of this User Agreement. We may also substitute, by way of unilateral novation, effective upon notice to you, BizBoon Corporation for any third party that assumes our rights and obligations under this Agreement.

Notices and Service of Process - BizBoon may notify you via postings or messages on www.BizBoon.com. You can contact BizBoon via mail or courier at: BizBoon Corporation ATTN: Legal Department 16025 Seventh Concession King, L7B 0E1 Ontario, CANADA. BizBoon accepts due process or service of process at this address. Any notices that you provide without adoring and compliance with this section shall have no legal effect.
